1. Acceptance of Terms
By accessing, browsing, or using the website (the “Site”) of Mare Liberum Capital Partners, LLC, together with its subsidiaries and affiliates (collectively, “Mare Liberum,” “we,” “our,” or “us”), you (“User” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms of Use and Privacy Policy (collectively, these “Terms”). These Terms constitute a legally binding agreement between you and Mare Liberum governing your access to and use of the Site, including all images, text, data, software, tools, graphics, user interfaces, and other content made available on or through the Site, as well as any associated services including email newsletters, content distribution platforms, and online social media accounts (collectively, the “Content” and “Services”). We may update these Terms from time to time and any modifications will be effective immediately upon posting unless we indicate otherwise. Your continued use of the Services following any modification constitutes your acceptance of the revised Terms. You are responsible for reviewing these Terms each time you access the Site.


IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SITE. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THESE TERMS IS TO DISCONTINUE ALL USE OF THE SITE. YOUR RIGHT TO ACCESS THE SITE IS CONDITIONED UPON YOUR COMPLIANCE WITH THESE TERMS AND ALL APPLICABLE AGREEMENTS. ANY BREACH OF THESE TERMS WILL AUTOMATICALLY AND IMMEDIATELY REVOKE YOUR RIGHT TO ACCESS THE SITE, WITHOUT NOTICE. Mare Liberum grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site strictly in accordance with these Terms. This license does not include the right to: (a) modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, or sell any Content; or (b) use any data mining, robots, or similar data gathering or extraction methods on or in connection with the Site. Mare Liberum reserves the right to revoke this license at any time, for any reason, without prior notice.


3. Intellectual Property
All Content on the Site, including text, graphics, logos, trademarks, trade dress, service marks, images, and software, is the property of Mare Liberum or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. The compilation of all Content on the Site is the exclusive property of Mare Liberum. All trademarks, trade names, and logos displayed on the Services are the property of Mare Liberum and/or its affiliates, or their respective third-party owners, and the Services grant no license to them. You may download or copy Content only to the extent expressly permitted in writing on the Site. No right, title, or interest in any Content is transferred to you by virtue of downloading or copying. Nothing on the Site grants, by implication, estoppel, or otherwise, any license or right to use any trademark, logo, or service mark displayed on the Site. Violations of system or network security may result in civil and criminal liability, including under the Computer Fraud and Abuse Act (18 U.S.C. §1030). Mare Liberum reserves the right to investigate and cooperate with law enforcement authorities in prosecuting any such violations. We may restrict or terminate access to the Site, without prior notice, if we reasonably determine such action is necessary to prevent or mitigate a security threat.


5. No Offer or Solicitation; Disclaimer of Reliance

By submitting information or materials to Mare Liberum, you (or anyone acting on your behalf) agree that any such information or materials will not be considered confidential or proprietary, and that Mare Liberum is free to use them without condition. 13. Titles and Designations
Although certain individuals may be identified in the Services as “Partners,” “General Partners,” or similar titles, such designations are not intended to indicate that any such individual is a partner or general partner of any partnership as those terms are used for legal purposes. Such titles should not be construed to indicate that an individual has any ownership interest in Mare Liberum or any affiliate, nor should they be construed to indicate any particular decision-making authority or responsibility.


14. Indemnification
To the fullest extent allowed by applicable law, you agree to indemnify, defend, and hold harmless Mare Liberum and its Associates from and against any and all claims, liabilities, damages (actual and consequential), losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site, Services, or any Content (including any actions taken by a third party using your account); (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party right, including any intellectual property, privacy, or proprietary right.


15. Representations and Warranties of User
You represent and warrant that: (a) you have full authority and all rights necessary to enter into and perform your obligations under these Terms; (b) you have not entered and will not enter into any agreement that would conflict with your obligations hereunder; (c) you will not delete, alter, or otherwise interfere with any Content on the Site; and (d) you are responsible for all information, content, and materials you contribute, disclose, or share in any manner on or through the Services, and you have all rights necessary to do so. You acknowledge and agree that neither Mare Liberum nor any other person (including any affiliate of Mare Liberum) is in any way obligated to invest in any business you are associated with or offer you the opportunity to invest in any Mare Liberum entity or affiliate.


16. Termination
These Terms remain in effect until terminated by either you or Mare Liberum. You may terminate these Terms at any time by discontinuing all use of the Site. Mare Liberum may terminate these Terms and deny you access to the Site at any time, in its sole discretion, without prior notice. Upon termination, you must promptly destroy all materials downloaded or otherwise obtained from the Site, including all copies thereof.


17. Relationship to Other Agreements
These Terms do not modify or amend any other written agreement between you and Mare Liberum, including any subscription agreement, participation agreement, or account agreement (“Other Agreements”). In the event of any conflict between these Terms and any Other Agreement, the Other Agreement will control. Certain pages within the Site may contain supplemental terms, disclosures, or disclaimers, which are incorporated into and supplement these Terms. In the event of a conflict, such supplemental terms will govern with respect to the applicable section or page.


18. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Florida for the adjudication of any dispute arising out of or relating to these Terms or the Site. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. The failure of Mare Liberum to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. These Terms are binding on you as well as your successors and permitted assigns.


19. Arbitration
By using the Site, you agree that Mare Liberum, at its sole discretion, may require any dispute arising from or relating to the use of the Site, the Content, or these Terms—including disputes concerning interpretation, validity, performance, or termination—to be submitted to final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, by one or more arbitrators appointed in accordance with those rules. The arbitration will be conducted in the State of Florida and governed by the laws of the State of Delaware as set forth in Section 18.
